Terms and Conditions
1) All websites published by Fox Valley Trading Companies are the property of The IdeaPros, Inc., D/B/A Fox Valley Trading Company and are both referred to as Fox Valley Trading Company from herein.
2) This Agreement contains the complete terms and conditions that apply for use of The Fox Valley Trading Company. By using or shopping from this Web site, you agree to be bound by its terms of use and shall comply thereof. This Agreement describes and encompasses the entire agreement between us and you, and supersedes all prior or contemporaneous agreements, representations, warranties and understandings with respect to the Site, the content and computer programs provided by or through the Site, and the subject matter of this Agreement. Amendments to this agreement can be made and effected by us from time to time without specific notice to you end. Agreement posted on the Site reflects the latest agreement and you should carefully review the same before you use our site.
3) USE OF SITE & PROHIBITIONS: The Site allows you to post offers, sell, advertise, bid and shop online. However, you are prohibited to do the following acts, to wit: (a) use our sites, including its services and or tools if you are not able to form legally binding contracts, are under the age of 18, or are temporarily or indefinitely suspended from using our sites, services, or tools (b) posting of an items in inappropriate category or areas on our sites and services; (c) collecting information about users personal information; (d) maneuvering the price of any item or interfere with other users' listings; (f) post false, inaccurate, misleading, defamatory, or libelous content; (g) take any action that may damage the rating system.
For you to complete the sign-up process in our site, you must provide your full legal name, current address, a valid email address, and any other information needed in order to complete the signup process. You must qualify that you are 18 years or older and must be responsible for keeping your password secure and be responsible for all activities and contents that are uploaded under your account. You must not transmit any worms or viruses or any code of a destructive nature.
4) PAYMENT TERMS: Fox Valley Trading Company has the sole discretion to provide the terms of payment. Unless otherwise agreed, payment must first be received by FoxSportPacks.com prior to the customer's acceptance of an order. Unless credit term has been agreed upon, payment for the products shall be made by credit card, check or pre-approved purchase orders. Invoices are due and payable within the time period noted on your invoice, measured from the date of the invoice. An order may be invoice separately. FoxSportPacks.com has all the discretion to cancel or deny orders. Fox Valley Trading Company is not responsible for pricing, typographical, or other errors in any offer by FoxSportPacks.com and reserves the right to cancel any orders arising from such errors. Invoices must be paid within 15 days of the invoice date. For all but consumer purchases, Fox Valley Trading Company reserves the right to charge you a late penalty charge of 1% per month applied against undisputed overdue amounts or the maximum rate permitted by law whichever is less. Every 30 days thereafter, you will continue to be charged an additional late penalty charge. Legal action may be taken against any delinquent Customer. A lien may be placed upon personal property in order to collect a debt from a customer. The Customer assumes responsibility for all legal costs, including attorney's fees and court costs associated with collection of any such debt. The venue for any such litigation will take place Illinois State Court in Kendall County, Illinois. Nonpayment will be reported to the Credit Bureau. Returned Check Policy: $25.00 service charge on all returned checks.
5) IN-HAND DATES and PRIORITY ORDERS: Standard production times vary from item to item. Typical production times are generally 2 weeks (10 working days). Additional shipping charges may apply if overnight or two-day shipping is required. Rush items and services are available on many items. PRIORITY ORDER service is available on orders that have a 'Must have" date. Priority Order guarantees you delivery on or before your event date or the order is free of charge. Priority Order service is available only if artwork and all necessary information is provided at time of order. A $10.00 Priority Order charge will be invoiced to the customer. This charge is in addition to any rush production charges that may apply from the manufacturer. Additional shipping charges may also apply on some orders.
6) CANCELLATIONS & RETURNS: There are no returns on custom imprinted items. We do not have to provide a refund if you have changed your mind about a particular purchase, so please choose carefully. If the goods are faulty, we will meet our obligations under the applicable laws. No cancellations without approval from Fox Valley Trading Company. On approved cancellations, the customer will be charged $50.00 plus all costs incurred before cancellation request was received. No cancellations on orders in production.
7) SALES TAX: Illinois customers will be charged sales tax unless a resale or exemption certificate is provided to FoxSportPacks.com by the Customer. Out of state customers are required to self-access any applicable sale tax unless a tax exempt certificate is provided to Fox Valley Trading Company.
8) SUBSTITUTIONS: From time to time, Fox Valley Trading Company and its suppliers may find it necessary to make substitutions. We reserve the right to substitute product for like items of equal or greater value without notice. On wearables it is not uncommon to find variations between "dye-lots" and colors may vary slightly from order to order.
9) LARGE SIZES: Additional charges for large sizes are as follows: 2Xlge - add $2.50, 3Xlge - add $3.50, 4Xlge - add $4.50.
10) LOGO USE: Fox Valley Trading Company reserves the right to publish a picture of your logo on apparel or promotional items in our promotional catalog unless otherwise notified in writing by the customer. If notification is received by FoxSPortPacks.com after the time of publication, the catalogs will still follow normal circulation. Thereafter, the prohibited logo will no longer be used. Logos shown in our marketing materials are for display purpose only. Companies shown do not necessarily endorse these products. In the event Fox Valley Trading Company is directed by the customer to use any logo, the customer, as principal, shall be responsible to comply with all laws regarding copyright, trademark, patent, right of privacy, licensing or similar rights of protection, and shall indemnify and save harmless FoxSportPacks.com it's agent, for any suits, claims or action of any nature, including any associated costs which may arise accordingly.
11) WARRANTY DISCLAIMER AND LIMITATIONS OF LIABILITY: Fox Valley Trading Company will not be liable for indirect, special, or consequential damages, or any loss of revenue, profits, or data, arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed USD2,000 or the total price of the subject products paid or payable to you whichever is less.
We make no express or implied warranties or representations with respect to the Program or any products sold and offered in our website (including, without limitation, warranties of fitness, merchantability, non-infringement, or any implied warranties arising out of a course of performance, dealing, or trade usage). In addition, we make no representation that the operation of our site will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors. This site and its information, contents, materials, products and services are provided on an as is and as available basis. You and understand and agree that your use of this site is at your own risk.
12) CONFIDENTIALITY: You agree not to disclose information you obtain from us and or from our clients, advertisers and suppliers. All information submitted to by an end-user customer pursuant to a Program is proprietary information of FoxSportPacks.com. Such customer information is confidential and may not be disclosed. Publisher agrees not to reproduce, disseminate, sell, distribute or commercially exploit any such proprietary information in any manner.
13) NON-WAIVER: Failure of the Fox Valley Trading Company to insist upon strict performance of any of the terms, conditions and covenants hereof shall not be deemed a relinquishment or waiver of any rights or remedy that the we may have, nor shall it be construed as a waiver of any subsequent breach of the terms, conditions or covenants hereof, which terms, conditions and covenants shall continue to be in full force and effect.
No waiver by either party of any breach of any provision hereof shall be deemed a waiver of any subsequent or prior breach of the same or any other provision.
14) MISCELLANEOUS: This Agreement shall be governed by and construed in accordance with the substantive laws of Illinois, without any reference to conflict-of-laws principles.
Any dispute, controversy or difference which may arise between the parties out of, in relation to or in connection with this Agreement is hereby irrevocably submitted to the Illinois State Court in Kendall County, Illinois to the exclusion of any other courts without giving effect to its conflict of law’s provisions or your actual state or country of residence.
The entire agreement between the parties with respect to the subject matter hereof is embodied on this agreement and no other agreement relative hereto shall bind either party herein.
Your rights of whatever nature cannot be assigned nor transferred to anybody, and any such attempt may result in termination of this Agreement, without liability to us. However, we may assign this Agreement to any person at any time without notice.
In the event that any provision of these Terms and Conditions is found invalid or unenforceable pursuant to any judicial decree or decision, such provision shall be deemed to apply only to the maximum extent permitted by law, and the remainder of these Terms and Conditions shall remain valid and enforceable according to its terms.
15) Customer Owned Goods:
Fox Valley Trading Company is not responsibile for damage to customer supplied goods during imbelishment. The customer assumes all liability for customer owned goods.
16) SpiritGear Product Details:
CHOOSE YOUR ITEMS: Choose up to 10 items from our quality line of products. Additional items can be added for $5.00 per item (Set-up) with a maximum of 24 items.
SET-UP & REBATE: There is a $99.00 annual fee for the SpiritGear product. You or your organization will earn a 15% rebate on each item sold. You will receive a rebate check for items purchased on your site two times per year. A check will be send in July for all orders placed from January through June, and a second check in January for all orders placed from July through December. You may receive a 1099 form at year end for all payments received as a rebate.
RENEWAL: Your site will remain active for 12-months. During that time you may change items on the site for $5.00 per item. Upon each anniversary, your site will automatically renew (and you will be invoiced) for an additional 12-months unless you provide written notice of cancellation to Fox Sport Packs no less than 90 days before the anniversary date.
DELIVERY: Lead-time is generally 2-3 weeks before orders ship. Orders are packed by individual order for no additional charge. There is a $1.00 handling charge added to each order.
17) Sport Packs Product Details:
FREE SET-UP! (for all orders of 24 packs or more, $50.00 or orders less than 24 packs).
FREE PACK! for coach or A.D. on pre-paid orders of 12 or more packs.
FREE ART PROOF!
All packages include a one-color design.
Please add $1.50 for each additional imprint color, per piece (4-max) on sweatshirts and tees.
Sweatpants and shorts have one-color (same) logo.
Personalization - Name OR Number $5.00 per item. Names AND Number add $8.00 per item.
Ink color change $10.00 if applicable.
Send us an excel list of your team/sizes and we will individually pack your order by player/member for only $2.00 per pack.
We ship using UPS Ground. (We can ship using your UPS account number upon request.)
We offer multi-sport discounts for schools that have all sports teams at your school purchase from Fox Sport Packs.com.
